Effective Date: {{effective_date}}
1. Agreement and Parties
This Host Service Agreement (the "Agreement") is between Pegasus International Travel INC., 700 Lavaca St, Ste 1401, Austin, TX 78701, USA ("TripMeet," "we," "us," or "our"), and the person or entity that applies to host activities and is approved by TripMeet (the "Host," "you," or "your"). It applies together with the Terms of Service and the Privacy Policy. If there is a conflict about hosting, this Agreement controls.
By checking the acceptance box and submitting a host application, or by continuing to host after this Agreement changes, you agree to this Agreement.
2. Eligibility and Host Status
- You must be at least 18 years old and legally able to enter into contracts.
- Hosting is subject to TripMeet's review and approval. Approval is personal to the approved account and does not create an employment, agency, franchise, joint venture, or partnership relationship.
- You must keep your account and public profile accurate and up to date. We may review changes to your public profile before they take effect.
- We may decline, suspend, or revoke host status where we reasonably believe this Agreement, applicable law, or platform quality standards have been or may be breached.
3. Our Role
TripMeet operates a marketplace that lets Hosts publish activities and lets participants discover and book them. The Host is the provider of the activity. We are not the organizer, operator, guide, or insurer of any activity, and we do not control the manner in which an activity is performed.
For payment processing, we act as an agent for collection on the Host's behalf to the extent permitted by law. Payment obligations to the Host are subject to and conditional upon our successful receipt of the associated participant payments.
4. Host Obligations
You agree to:
- Describe activities accurately. Titles, descriptions, images, meeting points, schedules, prices, capacity, inclusions, and requirements must be truthful, complete, and not misleading.
- Deliver the service. Perform each booked activity with reasonable skill and care, on the stated date and time, at the stated meeting point, and with the stated inclusions.
- Comply with the law. Obtain and maintain all licenses, permits, registrations, insurance, and qualifications required for your activities, and comply with applicable consumer, safety, tax, and accessibility laws.
- Keep participants safe. Apply appropriate safety standards, disclose material risks, and use qualified guides or staff where required.
- Honor bookings. Do not cancel or materially change a booked activity except as permitted by the cancellation rules displayed at booking and this Agreement.
- Not solicit off-platform transactions. Do not encourage participants to book, pay, or communicate outside the platform for the purpose of avoiding platform fees or platform protections.
5. Content and Conduct
You are responsible for all content you submit, including text, images, and responses to reviews. You grant TripMeet a non-exclusive, worldwide, royalty-free license to host, reproduce, translate, display, and promote that content on and through the platform. You represent that you have the rights needed to grant this license.
You must not post content that is unlawful, discriminatory, misleading, infringing, or harmful, or that violates our content standards. We may remove content, request changes, or take other action where content breaches those standards.
6. Bookings and Participants
- A booking is for a specific occurrence (date and time) and a specific number of participants. Capacity is validated at the time of booking.
- The booking and cancellation terms shown to the participant before payment form part of the participant's agreement with you. Those terms currently include a platform-set free-cancellation cutoff of 24 hours before the activity starts and a host-set booking deadline of 1 to 10 hours before the activity starts.
- You must not discriminate against participants on prohibited grounds and must comply with the platform's participant requirements and safety rules.
7. Pricing, Commission, and Taxes
- Prices are entered in US dollars (USD). Displayed prices in other currencies are conversions provided for convenience; the settlement basis is described in the Host Center.
- TripMeet charges a commission on completed bookings at the rates shown in the Host Center. We may change commission rates on prior notice, subject to any limits described in the Host Center or required by law.
- Tax. Where TripMeet is required to collect and remit taxes on activities, it does so as the collection agent and remits the applicable amounts to the relevant authorities. You must provide accurate tax and business information and promptly update it. To the extent required by law, we may disclose your tax information to tax authorities without prior notice to you.
- You are responsible for any taxes, registrations, and filings that apply to you and are not collected and remitted by TripMeet.
8. Payments and Payouts
- Participant payments are collected through the payment methods made available on the platform.
- Payouts are made in USD, on the schedule and subject to the thresholds and account requirements described in the Host Center.
- We may withhold, delay, or offset amounts where reasonably necessary to investigate a dispute, a chargeback, suspected fraud, a safety issue, or a breach of this Agreement.
- You are responsible for keeping your payout account information accurate. We are not responsible for delays caused by inaccurate information.
9. Cancellations, Changes, and Penalties
- Participant cancellations. The participant's right to cancel and receive a refund is governed by the cancellation policy displayed at booking. Under the current platform rules, a participant may cancel for a full refund until the platform-set free-cancellation cutoff; after that cutoff, the participant has no self-service cancellation right and a no-show is not refunded.
- Host cancellations and changes. You may cancel a specific occurrence or a specific booking only as permitted by the platform rules and only before the occurrence starts. Cancelling a participant's booking may require a full refund and may result in a penalty under the penalty schedule in the Host Center. We may record cancellation history and use it in quality review.
- Force majeure. If an activity cannot proceed due to an event outside your reasonable control, you must notify affected participants promptly and follow the platform's rescheduling or refund process.
- Penalties and recovery. Penalties and amounts owed by you may be deducted from future payouts or recorded against your host ledger, as described in the Host Center.
10. Reviews
Participants may review completed activities. Reviews are moderated and may be published or rejected under our review rules. You may respond to reviews in accordance with the platform rules. You must not manipulate, coerce, or incentivize reviews, or retaliate against a participant for a review.
11. Chargebacks and Recovery
If a participant or cardholder initiates a chargeback or payment dispute, we may provide available evidence on your behalf and may suspend settlement of the disputed amount while the dispute is pending. If the dispute is resolved against the payment, or if we reasonably determine that an amount is owed by you, we may recover that amount from future payouts or your host ledger, to the extent permitted by law. Our obligation to pay you remains conditional on our successful receipt of the associated participant payments.
12. Suspension and Termination
We may suspend or terminate your ability to host if you breach this Agreement, applicable law, or platform standards, or if we reasonably believe there is a risk to participants, the platform, or third parties.
If you terminate this Agreement, or if we terminate it for convenience, activities already booked remain subject to the cancellation and refund rules, and amounts already earned remain payable in accordance with this Agreement and the Host Center.
13. Changes to This Agreement
- General updates. We may update this Agreement from time to time. We will notify you by email and/or through the platform. For general updates, your continued use of the hosting tools after the effective date constitutes acceptance.
- Material updates. If an update materially affects fees, penalties, dispute resolution, or limits of liability, we will ask you to explicitly accept the updated version. If you do not accept it, you may not start new activities, publish new activities, or accept new bookings. Activities already in progress and existing orders continue to be performed and settled.
- If you explicitly decline a material update, we may set your publishing capability to inactive. It will be restored when you accept the updated version.
14. Liability and Indemnity
- You are responsible for the activities you provide and for your own acts and omissions and those of your personnel and subcontractors.
- To the extent permitted by law, you will indemnify and hold harmless TripMeet and its affiliates from claims, losses, damages, penalties, and expenses (including reasonable legal fees) arising from: (a) your activities; (b) your breach of this Agreement or applicable law; (c) inaccurate information you provide, including information that causes tax loss, fines, or third-party claims; or (d) your infringement of third-party rights.
- To the extent permitted by law, TripMeet's aggregate liability under this Agreement is limited as described in the Terms of Service. Nothing in this Agreement limits liability that cannot be limited under applicable law.
15. Governing Law and Disputes
This Agreement is governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles. Disputes will be resolved in the state and federal courts located in Travis County, Texas, and you consent to their jurisdiction, except where applicable law gives you a non-waivable right to another forum.
